       STANDARD TERMS AND CONDITIONS OF SALE

1. General

These Terms and Conditions shall apply to all quotations, orders, and invoices issued by Lesokart Industries Private Limited.

The client expressly waives its own terms and conditions, even if issued subsequently, unless expressly agreed in writing by Lesokart.

2. Prices

  • All prices are exclusive of GST, freight, packaging, and insurance, unless otherwise specified.
  • Prices are based on current raw material rates; any significant fluctuation may lead to revision.
  • Quotations are valid for 15 days from the date of issue.

3. Payment Terms

  • Invoices are payable within 21 working days, unless otherwise specified in writing.
  • Lesokart reserves the right to charge interest @ 10% per annum on overdue amounts.
  • In case of delayed payment, Lesokart may suspend supply or services without prior notice.
  • If payment remains outstanding beyond 60 days, the company reserves the right to initiate debt recovery/legal proceedings, and all related costs shall be borne by the client.

4. Taxes & Withholding

  • Any withholding tax or statutory deduction applicable in the client’s country shall be borne by the client.
  • The full invoice amount remains payable to Lesokart without any deductions.

5. Delivery Terms

  • Delivery timelines shall commence only after receipt of advance payment and final drawing approval.
  • Delivery shall be Ex-Works – Aurangabad, unless otherwise agreed.
  • Transportation and insurance shall be charged extra at actuals.

6. Scope of Supply

  • Supply is strictly limited to manufacturing as per approved drawings/specifications.
  • Additional processes such as powder coating, plating, assembly, or special packaging will be charged separately unless included in the quotation.

7. Raw Material & Tolerances

  • Materials shall conform to standard industrial grades (CRCA / HRPO / SS / Aluminium).
  • General tolerances shall be as per DIN ISO 2768 (Coarse) unless otherwise specified.
  • Material Test Certificates (MTC) will be provided at additional cost if required.

8. Quality & Inspection

  • Products shall be inspected as per Lesokart’s standard quality procedures.
  • Third-party inspection, if required, shall be charged extra.
  • Any rejection must be reported within 7 days from the date of delivery, failing which goods shall be deemed accepted.

9. Subcontracting

  • Surface treatments such as powder coating or zinc plating may be carried out through approved vendors.
  • Lesokart ensures overall quality compliance; however, any vendor-specific limitations will be communicated.

10. Order Cancellation & Modification

  • Orders once confirmed cannot be cancelled or modified without prior written approval.
  • Cancellation charges shall include raw material, work-in-progress (WIP), and processing costs.

11. Performance & Liability

  • Lesokart undertakes to perform services to the best of its capability within agreed timelines.
  • However, obligations are not guaranteed results-based obligations.
  • Lesokart shall not be liable to act as a third party in any claim raised by end customers.
  • Maximum liability is limited to the value of the supplied goods/services.

12. Claims

  • Any claim must be notified within 8 days of delivery or service completion,
    through written communication sent to the registered office of Lesokart.

13. Force Majeure

Lesokart shall not be held liable for delays or failures due to force majeure events, including but not limited to natural disasters, government actions, strikes, or unforeseen disruptions.

14. Confidentiality & Data Protection

  • All drawings, designs, and technical data shall be treated as confidential.
  • Both parties agree to maintain strict data protection and non-disclosure.

15. Governing Law & Jurisdiction

  • All contractual relationships shall be governed by laws of India.
  • Subject to jurisdiction of courts at Aurangabad only.
